Affiliate Program Terms
These terms govern the Identiful Affiliate Program. They form a binding agreement between you and Prime Layer Group, S.A. Please read them together with the Affiliate Privacy Notice. Version 2.0, effective September 18, 2026.
1. Parties
The program is operated by Prime Layer Group, S.A., a sociedad anónima organized under the laws of the Republic of Panama and domiciled in Panama City, which owns and operates the Identiful brand ("Identiful", "we"). The other party is the person or company whose application we approve ("affiliate", "you").
2. Definitions
Valid sale: an order for an Identiful product that is paid in full, attributed to you under clause 5, and not cancelled, refunded or charged back.
Commissionable base: the amount Identiful actually collects for a valid sale, excluding taxes, payment-processing fees and any discounts.
Hold period: the 45 days after an order is paid during which its commission stays pending.
Available balance: the sum of your commissions whose hold period has ended, net of any reversals and adjustments.
3. Eligibility
You must be at least 18 years old, have legal capacity to contract and give true, complete information, and keep it up to date. We may reject any application without giving reasons.
You cannot join if you, your company or its owners appear on any sanctions list (including the OFAC Specially Designated Nationals list and the United Nations Security Council consolidated list), or if you reside in a country to which we cannot lawfully make payments.
4. Relationship
You act as an independent contractor. This agreement does not create an employment relationship, partnership, joint venture, franchise or agency. It is not exclusive. You have no authority to make promises, accept orders or sign anything on behalf of Identiful.
5. Attribution
A sale is attributed to you when the buyer arrives at identifulstudio.com through your referral link and pays within 15 days of that click. Attribution is last-click: if the buyer later uses another affiliate's link, the most recent link wins. Each order generates at most one commission.
No commission is due for purchases made by you, by your household or by accounts or payment details linked to you; for orders using coupons or discount codes we did not give you; or for sales we cannot trace to your link. Identiful's tracking records are decisive in determining attribution.
6. Commissions
The commission is the percentage of the commissionable base shown in your affiliate panel for each product, unless we agreed a different percentage with you in writing.
If an order is refunded in full, its commission is reversed in full. If it is refunded in part, the commission is reduced in the same proportion. If the buyer opens a chargeback, the commission is frozen until the dispute is resolved and reversed if the dispute is lost. When a reversed commission was already paid to you, the amount is deducted from your future balance.
7. Hold period and payouts
Each commission stays pending for 45 days after the order is paid and then becomes available. You can request a payout of your whole available balance once it reaches US$50. Requests received during a calendar month are processed within the first 15 days of the following month.
Payouts are made in US dollars through PayPal or Zelle, to an account in your name that you confirmed in your panel. Fees charged by the provider to send the payment may be deducted and are shown on your payment voucher; fees your own provider charges to receive it are yours. For your security, payouts wait 48 hours after any change to your payout details.
Before your first payout you must accept the current version of these terms and complete your fiscal profile in your panel (clause 8). If you cannot provide a detail or document (for example, because you have no tax identification number), say so in your profile: Identiful reviews each case and has the final decision on whether and how a payout is made. For every payout we issue a numbered payment voucher, and each year an annual statement.
If you believe a statement or payout is wrong, you must tell us within 60 days of receiving it; after that period it is considered accepted.
8. Taxes and invoicing
You are solely responsible for declaring and paying the taxes that apply to your commissions in your jurisdiction.
We will ask you for your fiscal information and, as applicable: Form W-9 if you are a US person (including US citizens living abroad); Form W-8BEN (individuals) or W-8BEN-E (entities) if you are not; or, if you reside in Panama and are registered with a RUC, a valid electronic invoice for each payout. Missing information may delay a payout or change how it is processed, as Identiful decides case by case within the law.
Identiful withholds the taxes it is legally required to withhold, including the income-tax withholding on payments abroad under Article 733 of the Panama Tax Code when applicable, and gives you proof of the withholding.
If you reside outside Panama, you accept that the payment voucher Identiful issues serves as the document supporting the transaction (self-billing), and you undertake not to issue a conflicting invoice.
9. Promotion and disclosure
Every recommendation must clearly disclose, right next to the link and before the click, that you earn a commission, for example "Paid link" or "I earn a commission". Phrases such as "affiliate link" or "buy now" alone are not enough. The disclosure texts in your panel meet this standard.
You may only say what is true and verifiable about Identiful. Do not promise sales, income or business results, invent testimonials, or describe Identiful's work as AI-generated identities.
You must comply with advertising and consumer-protection law, including the US FTC Endorsement Guides, CAN-SPAM for email and the TCPA for calls and text messages. Do not send unsolicited messages, bid on Identiful brand terms in paid search, register domains or social accounts that include the Identiful name, or impersonate Identiful.
10. Prohibited practices
The following are prohibited: cookie stuffing; forced, hidden or automatic clicks; browser extensions or software that insert or overwrite referral links; incentivized traffic (paying or rewarding people to click or buy); bots and fake traffic; fake websites, fake news or review sites; and any practice that misleads buyers or manipulates attribution.
11. Monitoring
We may review any content you use to promote Identiful. When we find non-compliant content we will ask you to correct or remove it, and you must do so within 48 to 72 hours of our request.
12. Suspension and fraud
We may suspend your account and freeze your balance for up to 90 days while we investigate suspected fraud or a breach of these terms. Commissions obtained through a breach of these terms are forfeited, and any already paid must be returned or will be deducted.
13. Brand license
We grant you a limited, revocable, non-exclusive and non-transferable license to use the Identiful name and the materials we provide, only to promote Identiful under these terms and without modifying them. The license ends automatically when this agreement ends.
14. Confidentiality and data
You will only receive aggregated information about your referred sales; buyers' contact details are never shared with you. Anything we share with you that is not public is confidential.
We process your personal, fiscal and payment data as described in the Affiliate Privacy Notice, which explains the legal bases, international transfers, security measures and retention periods.
15. Changes to these terms
We may change these terms, the commission rates, the attribution window, the hold period or the minimum payout by notifying you at least 30 days in advance by email or in your panel. Changes never affect commissions generated before they take effect. If you do not agree, you may leave the program before the change takes effect.
16. Termination
Either party may end this agreement at any time with notice. Commissions generated up to the termination date remain payable once their hold period ends, even if the balance is below the minimum, and are paid within 60 days, unless the account was terminated for fraud or a material breach.
17. Warranties, liability and indemnity
The program and the materials are provided "as is"; we do not guarantee any level of sales or income, or uninterrupted tracking.
To the extent permitted by law, Identiful's total liability to you under this agreement is limited to the commissions paid to you in the 12 months before the claim, and neither party is liable for indirect or consequential damages.
You will indemnify Identiful against claims, fines and costs arising from your content, your promotional practices or your breach of these terms.
18. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Panama. Any dispute will be submitted to the competent courts of Panama City, Republic of Panama.
19. Final provisions
If any clause is found invalid, the rest remain in force. You may not assign this agreement without our written consent. These terms, together with the Affiliate Privacy Notice, are the entire agreement on the program and replace any earlier version. They may be offered in English and Spanish; in case of discrepancy the English version prevails. Effective date: September 18, 2026 (version 2.0).
